Mike Reed, a shareholder of the firm, represents clients in business, health care and intellectual property transactions. He provides strategic planning and advice to business owners, assisting them with entity selection, formation and ongoing operational and corporate governance issues. Mike also negotiates and prepares a wide range of commercial contracts and provides assistance with federal and state securities regulation compliance and filings.

     If you are buying or selling your business, Mike can help with the negotiation of the terms of purchase or sale and will prepare all of the documents necessary to transfer the business, whether pursuant to an asset purchase agreement, equity interest purchase agreement or merger. Mike also assists in the winding up and dissolution of business entities.

     Although Mike has a diverse client base and provides legal advice and assistance to clients in many distinct industries, a substantial portion of his practice is dedicated to the representation of health care providers.

     Mike assists providers with an array of complex issues, providing legal analysis, guidance and training to ensure his clients adhere to the numerous statutes, regulations and other state and federal requirements applicable to their practices, including Stark, SPEIER Act, PORA, anti-kickback, antitrust, Knox-Keene, insurance and HIPAA regulations. Mike works with independent practice associations, medical groups and individual providers (including ancillary service providers) to form their professional corporations and partnerships, to establish clinics and surgery centers and to structure joint venture arrangements with hospitals and others. Mike also has experience negotiating and preparing a wide range of health care agreements, including employment and independent contractor services agreements, recruitment and relocation agreements, management and billing services agreements, medical equipment lease and purchase agreements and medical director agreements.

     Mike received his J.D. from the University of Oregon School of Law, where he served as Editor-in-Chief of the Oregon Law Review. Prior to law school, Mike attended and received his undergraduate degree from the University of California at San Diego.
